Quorum for Convening the General Assembly’s MeetingAccording to Article 30 of the Company’s Articles of Association, the Ordinary General Assembly meeting is valid if attended by shareholders representing at least a quarter of the capital, and if the mandatory quorum for holding this meeting is not available, the second meeting will be held an hour after the end of the period specified for the first meeting, and the second meeting is valid Whatever the number of shares represented in it.
General Assembly Meeting Agenda1.Reviewing and discussing the report of the Board of Directors for the fiscal year ending on 12/31/2022. 2.To vote on the company’s auditor’s report for the fiscal year ending 12/31/2022. 3.Reviewing and discussing the financial statements for the fiscal year ending 12/31/2022. 4.To vote on appointing the company’s auditor from the candidates based on the recommendation of the Audit Committee; This is to examine, review and audit the financial statements for the (second, third quarters of 2023) and annual for the fiscal year 2023, and the first quarter of the fiscal year 2024, and determine the fees. 5.Voting the members of the Board of Directors acquittance from liability for the fiscal year ending 12/31/2022. 6.To vote on disbursing an amount of SAR 1,800,000 as a reward for members of the Board of Directors for the fiscal year ending 12/31/2022. 7.To vote on the Board of Directors’ decision to distribute cash dividends during the first half of the year 2022 of SAR 44,444,444.25, indicating (25) Halalas per share, which represents (2.5%) of the nominal value of one share. 8.To vote on the Board of Directors’ recommendation to distribute cash dividends to shareholders for the second half of the year 2022 of SAR 44,444,444.25, indicating (25) Halalas per share, which represents (2.5%) of the nominal value of one share, provided that the eligibility is for the shareholders who own the shares at the end of trading on the day of the General Assembly meeting and those registered in the company’s shareholder register with the Securities Depository Center Company (Depository Center) at the end of the second trading day following the due date, and the date of dividend distribution will be announced later. 9.To vote on authorizing the Board of Directors to distribute interim profits on a semi-annual/quarterly basis for the fiscal year 2023.
